ACSP / Authorised Agent for Central and Eastern European Companies

Royal Chambers Tax & Law provides comprehensive support with Companies House obligations in the United Kingdom, delivered through a registered authorised agent (Authorised Corporate Service Provider – ACSP).

We help companies and corporate groups from Central and Eastern Europe operate safely in the UK by taking care of all practical aspects of dealing with Companies House – from identity verification, through registrations and changes, to ongoing filings.

Who is this service for?

Our ACSPbased services are designed primarily for:

  • UK companies (Ltd, LLP, PLC) whose owners or management are based in Central and Eastern Europe (including, for example, Poland, Czech Republic, Slovakia, the Baltic states, Romania, Bulgaria, Ukraine),
  • corporate groups with UK subsidiaries and holding companies located in the CEE region,
  • individual investors and family holding structures from CEE who need to be correctly disclosed as persons with significant control (PSC) or beneficial owners.

We work in English and Polish and, where needed, cooperate with local advisers and translators in other CEE jurisdictions.

Why is ACSP support crucial after the legal reforms?

Following the UK corporate law reform (Economic Crime and Corporate Transparency Act 2023), Companies House:

  • requires mandatory identity verification for directors, persons with significant control (PSC) and individuals submitting filings,
  • places a much stronger emphasis on transparency and consistency of ownership structures,
  • can refuse to accept filings or request additional explanations where company or PSC information is incomplete or inconsistent.

For owners based in Central and Eastern Europe, this adds an extra layer of complexity due to legal, procedural and language differences. Working with an experienced authorised agent significantly reduces this risk and makes the process manageable and predictable.

PSC – who is on Companies House’ radar?

In the UK system, a PSC (person with significant control) is someone who actually controls the company, typically by:

  • holding more than 25% of shares or voting rights,
  • having the right to appoint or remove the majority of the board,
  • otherwise exercising significant influence or control over key business decisions.

In practice, a PSC is the Companies Houselevel equivalent of a beneficial owner.

At Royal Chambers we:

  • identify who should be reported as PSC,
  • check consistency between PSCs and beneficial owners under AML rules and local registers (for example, Polish UBO registers),
  • ensure that ownership data presented in the UK and in CEE jurisdictions is coherent and defensible.

What do we do for your company as authorised agent?

Identity verification (ID checks) for Companies House

  • We organise and carry out mandatory identity verification for directors, PSCs and individuals submitting filings, via a registered authorised agent.
  • We guide CEE clients through every step of the ID process, helping them choose appropriate documents and formats for remote verification.
  • We ensure that the IDchecking process is properly documented in line with UK regulatory and AML expectations.

Company registrations and ongoing Companies House filings

  • We incorporate UK companies (Ltd, LLP), designing the ownership and PSC structure with transparency and compliance in mind from day one.
  • We file all key changes: directors, addresses, shareholders, PSCs, share capital and other updates required by Companies House.
  • We prepare and file confirmation statements, monitor deadlines and reconcile inconsistencies in the data before submission.

“Compliance & comfort” packages for nonUK owners

  • We combine authorised agent services with tax and legal advice – showing how UK obligations fit into local rules (for example, in Poland or other CEE countries).
  • We operate as a “onestop shop”: you receive a clear list of decisions and documents needed, while we handle the technical interaction with Companies House.
  • We offer transparent fee structures (annual packages plus fees for additional filings), allowing groups to plan compliance costs in advance.

Complex structures, holdings and family wealth

  • We analyse holding and family structures in Central and Eastern Europe in light of PSC and beneficial ownership disclosure requirements in the UK.
  • We advise on how to build and present ownership structures so that they are acceptable to regulators across several jurisdictions.
  • We cooperate with local legal, tax and familyoffice advisers in the region to ensure a consistent approach to the entire asset base.

What makes Royal Chambers different?

  • Strong CEE focus – unlike many UKonly firms, we understand both UK company law and daytoday regulatory practice in Central and Eastern Europe.
  • Integrated ACSP plus tax & legal advisory – we do more than just “fill in forms”: we help you shape a structure that is safe and taxefficient.
  • Transparent cooperation model – we clearly define the scope of services, responsibilities and pricing (annual packages + oneoff filings), which makes it easy to build us into group budgets.
  • Longterm partnership – we support your company throughout its entire life cycle in the UK: from incorporation, through growth and ownership changes, to restructuring or exit.
